1. Agreement and Acceptance

By accessing our website, signing a proposal, or paying an invoice, you accept these terms in full. If you do not agree, do not use our services.

3. Scope of Services

We provide business consulting, software development, SaaS platforms, AI-powered tools, managed Git hosting, and web hosting. The specifics of each engagement are defined in your signed proposal.

4. Proposals and Agreements

All work requires a formal proposal that serves as your service agreement. Each proposal includes:

  • Scope of Work — deliverables, tasks, responsibilities, and project phases
  • Timeline — start date, milestones, and estimated completion
  • Pricing — fees, payment schedule, and billing terms
  • Additional Terms — ownership, licensing, and any special conditions

Work does not begin until the proposal is signed and the deposit is received.

5. Payments and Billing

Payment Terms

  • Non-refundable deposit (typically 50%) required to begin work
  • Deposit and third-party expense invoices are due upon receipt
  • Monthly service payments are due on the 1st of each month
  • Monthly services require a one-year minimum term unless stated otherwise

Early Cancellation

Cancelling monthly services before the minimum term ends incurs a fee of 20% of the remaining contract value or $200, whichever is greater.

Late Payments

  • Grace period: 10 days from due date, no penalty
  • After 15 days: Services may be suspended
  • Reinstatement: Requires payment of all outstanding balances plus a $25 reinstatement fee
  • Repeated late payments: May require certified funds or automatic billing enrollment

We may enforce penalties at any time regardless of past leniency.

6. Chargebacks

You must contact us through our support system before disputing any charge with your bank. Filing a chargeback without prior notice is a material breach of these terms.

If you have a billing concern:

  1. Submit a support ticket
  2. We respond within 72 hours
  3. We work together to resolve it

Unauthorized chargebacks result in immediate service suspension, restriction to certified payment methods, and requirement to pay all outstanding amounts before reinstatement.

7. Intellectual Property

What You Own

Upon full payment, you receive ownership of all final deliverables and associated intellectual property rights.

What We Retain

  • Preliminary concepts, drafts, and unused materials
  • Internal templates, tools, and methodologies
  • The right to display deliverables in our portfolio, marketing, and promotional materials (unless restricted by a signed confidentiality agreement)

AI-Generated Content

Content produced by MokoAI or other AI tools on your behalf is owned by you upon full payment. We make no claims to AI-generated output delivered to you. However, we do not guarantee that AI-generated content is free from third-party intellectual property claims.

Your Responsibility

You confirm that all materials you provide to us are yours to use. You agree to indemnify us against any claims arising from materials you supply.

8. Confidentiality

Both parties agree to protect each other's confidential information for two years from disclosure.

We will not disclose your business data, strategies, trade secrets, or personal information without your written consent.

You will not disclose our proprietary methods, pricing structures, or internal documents without our written permission.

Exceptions: Information that is already public, independently developed, previously known, or required by law.

9. Disclaimers and Liability

No Guaranteed Outcomes

Our services are based on professional expertise but do not guarantee specific results, revenue increases, or business success.

Limitation of Liability

We are not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability is capped at the fees you paid us in the preceding three months.

Third-Party Links

Our website may contain links to third-party sites. We do not control or endorse their content.

10. Software-as-a-Service (SaaS)

Your License

You receive a non-exclusive, non-transferable, revocable license to use our software for your internal business operations, limited to the authorized users in your subscription tier.

Restrictions

You may not:

  • Reverse engineer, modify, or create derivative works
  • Sublicense, resell, or share access beyond authorized users
  • Attempt to breach security or interfere with system operation
  • Use the platform for any unlawful purpose

Uptime

We make commercially reasonable efforts to maintain 99% uptime, excluding scheduled maintenance and force majeure events. We may modify or discontinue features with reasonable notice.

Your Data

You retain ownership of all data you store on our platform. Upon termination, you may request a data export within 30 days. After that period, we are not obligated to retain your data.

11. Hosting (DreamHost)

For services hosted on DreamHost infrastructure, DreamHost's Terms of Service and Acceptable Use Policy take precedence regarding hosting-specific matters. We are not liable for DreamHost service limitations or outages.

12. CRM Services

CRM engagements include setup, customization, data migration, training, and support as defined in your proposal.

Data Responsibility: You are solely responsible for the accuracy, legality, and security of your customer data. We are not liable for data loss from user error, insecure credentials, or third-party vulnerabilities.

Support: Support is limited to your contracted service period. Additional support requires a separate agreement or hourly billing.

13. MokoAI Services

Service Description

MokoAI provides AI-powered tools and assistants for content generation, data analysis, automation, and other business tasks. MokoAI may incorporate third-party AI models and services to deliver its functionality.

Accuracy and Reliability

AI-generated output is provided as-is. We do not guarantee the accuracy, completeness, or fitness of AI-generated content for any particular purpose. You are responsible for reviewing and validating all AI output before relying on it for business decisions, legal matters, or public-facing content.

Data Handling

  • Prompts and inputs you submit to MokoAI may be processed by third-party AI providers to generate responses
  • We do not use your inputs to train AI models
  • We do not store prompt history beyond the active session unless you explicitly enable conversation logging
  • Do not submit sensitive personal data, trade secrets, or protected health information to MokoAI unless your plan includes a private deployment

Usage Limits

MokoAI usage is subject to the rate limits and quotas defined in your subscription tier. Excessive or abusive usage may result in throttling or suspension.

Prohibited Uses

You may not use MokoAI to:

  • Generate content that violates applicable law or infringes on third-party rights
  • Produce deceptive, fraudulent, or misleading material
  • Create deepfakes, impersonations, or non-consensual intimate content
  • Circumvent safety filters or attempt prompt injection attacks
  • Automate spam, phishing, or social engineering campaigns
  • Generate malware, exploit code, or instructions for illegal activities

Liability

We are not liable for decisions made based on AI-generated output, intellectual property claims arising from AI-generated content, or any damages resulting from inaccurate or incomplete AI responses.

14. MokoGIT Services

Service Description

MokoGIT provides managed Git hosting, version control, issue tracking, and related developer collaboration tools. MokoGIT is powered by self-hosted infrastructure maintained by Moko Consulting.

Your Repositories

You retain full ownership of all code, documentation, and assets stored in your repositories. We will not access, modify, or distribute your repository contents except:

  • To provide the service (backups, replication, search indexing)
  • When required by law or valid legal process
  • To investigate violations of these terms after notice to you

Storage and Limits

  • Repository size limits and LFS quotas are defined by your subscription tier
  • We reserve the right to remove repositories that exceed storage limits after 30 days written notice
  • Archived repositories (no push activity for 12+ months) may be moved to cold storage with reduced availability

Availability and Backups

  • We perform daily encrypted backups of all repository data
  • We target 99% uptime but do not guarantee zero data loss in catastrophic scenarios
  • You are responsible for maintaining local copies of critical repositories

Prohibited Content

You may not use MokoGIT to host:

  • Malware, exploit kits, or tools designed for unauthorized access
  • Pirated software, license key generators, or circumvention tools
  • Content that violates export control laws
  • Excessively large binary files unrelated to your project (use LFS or external storage)

Termination and Data Export

Upon service termination, you may clone or export all repositories within 30 days. After 30 days, repository data may be permanently deleted. We will provide reasonable assistance for data export upon request.

15. Acceptable Use Policy

Prohibited Activities

You may not use our services to:

  • Violate any applicable law or regulation
  • Infringe on intellectual property rights
  • Attempt unauthorized access to any system
  • Transmit malware, viruses, or harmful code
  • Send unsolicited bulk email (spam) — including via third-party routing
  • Engage in harassment, hate speech, or phishing
  • Disrupt service for other users
  • Circumvent usage limitations or access controls

Enforcement

Violations may result in immediate suspension or termination without refund, investigation, cooperation with legal authorities, and liability for damages.

16. Termination

By Us

We may suspend or terminate services for:

  • Breach of these terms
  • Non-payment or repeated late payments
  • Fraudulent activity
  • Conduct that interferes with service delivery

By You

You may terminate with written notice, subject to any applicable early cancellation fees.

Effect of Termination

All unpaid fees become immediately due. Software licenses are revoked unless stated otherwise. Payment obligations, IP rights, confidentiality, and liability limitations survive termination.

17. Force Majeure

Neither party is liable for failures caused by events beyond reasonable control — natural disasters, war, government orders, infrastructure outages, strikes, epidemics, or telecommunications failures.

If a force majeure event lasts more than 30 consecutive days and prevents performance, either party may terminate without penalty. Force majeure excuses performance but not payment for completed work.

18. Independent Contractor

We operate as an independent contractor. Nothing in these terms creates an employment, partnership, or joint venture relationship. We control how work is performed and are responsible for our own taxes and compliance.

19. Non-Solicitation

During your engagement and for 12 months afterward, you will not solicit, hire, or engage our employees, contractors, or subcontractors without written consent. Violations incur liquidated damages of 25% of the individual's annualized compensation or project value.

20. Electronic Signatures

Electronic signatures, email approvals, form submissions, and digital signature platforms have the same legal effect as handwritten signatures. Both parties waive objections to the validity of electronic agreements.

21. Financing

We may offer financing to qualified clients. Financing terms are documented separately and do not waive deposit requirements.

22. Dispute Resolution

All disputes are resolved through binding arbitration per American Arbitration Association rules, conducted in Montgomery County, Tennessee. Each party bears its own legal fees unless the arbitrator awards otherwise.

This does not prevent either party from seeking injunctive relief for intellectual property or confidentiality violations. Both parties waive jury trial and class action rights.

23. Governing Law

These terms are governed by Tennessee law. Any legal action is brought exclusively in Montgomery County, Tennessee courts, regardless of your location.

24. Changes to Terms

We may update these terms at any time. Changes take effect immediately upon posting. Your continued use of our services after changes constitutes acceptance.
